Helny — Terms of Service
These terms govern the use of Helny, a business management application for antique and second-hand shops, provided by Go Upstream AB ("we", "us"). By creating an account or using the app, the shop and its users accept these terms.
1. The service
Helny helps a shop register items, manage its inventory, reconcile daily sales, handle deliveries and market items through connected channels. Features are described in the app and on helny.app, and may change as the service develops (see section 11).
2. Accounts and access
- An account belongs to a shop. The shop decides who may use it and in which role.
- Roles differ: owners administer integrations, finances and settings; staff use the everyday flow. The shop is responsible for assigning roles correctly.
- Users must keep their sign-in credentials confidential and are responsible for activity under their account.
- We may suspend an account that is used unlawfully or in a way that threatens the security or availability of the service for others.
3. Fees
Access is provided against the fee agreed with the shop. Fees, billing period and any start-up cost are set out in the shop's agreement or current price list rather than in these terms. Unless otherwise agreed, fees are stated excluding VAT and are payable in advance for each period.
4. The shop's content and responsibilities
- The shop owns the content it enters — item descriptions, photos, prices and business data — and is responsible for its accuracy and lawfulness.
- The shop is responsible for its own trading: pricing, item descriptions, disclosed defects, tax and accounting, and its obligations towards its customers.
- Consumer law applies to the shop, not to us. Where a shop sells at a distance to consumers, the applicable consumer rules — including any right of withdrawal — are the shop's responsibility. The app does not determine what the law requires of the shop.
- The shop must have the rights to any content it publishes through the app, and must not use the service to publish unlawful or infringing material.
5. Connected services
The shop may connect third-party accounts — such as its point-of-sale, accounting, marketplace or social media accounts. Those services are operated by their providers under their own terms. Connecting them is the shop's choice, and the shop is responsible for complying with each provider's rules.
We cannot control their availability, and a provider may change or withdraw its API, require review before certain features work, or restrict an account. We are not liable for a third party's decisions, downtime or changes, though we will make reasonable efforts to keep working integrations working.
6. Personal data
How personal data is processed is described in our Privacy Policy, which forms part of these terms. For the business data a shop enters and the data from the shop's connected accounts, the shop is the data controller and we act as processor on its behalf.
7. Availability and support
We aim to keep the service available and to fix faults within a reasonable time, but we do not guarantee uninterrupted or error-free operation. Planned maintenance is carried out with as little disruption as practical. Support is provided by email (section 13) on Swedish business days, and we reply within one business day. A reply means the question has been read and we say what happens next, not that the fault is fixed. We do not offer telephone support as a commitment.
8. Backups and the shop's own records
We take regular backups, but the shop remains responsible for its own statutory records — in particular its bookkeeping, which by law must be retained independently of any single supplier's system. Helny is not a substitute for the shop's accounting records.
9. Liability
The service is provided as it stands. To the extent permitted by law, we are not liable for indirect or consequential loss, including lost profit, lost sales or loss of data caused by a third-party service. Our total liability for any claim is limited to the fees paid by the shop for the twelve months preceding the event.
Nothing in these terms limits liability for gross negligence, wilful misconduct, or anything else that cannot be limited under Swedish law.
10. Term, termination and data export
- The agreement runs until terminated. There is no fixed term. Either party may terminate in writing (email is enough) with three calendar months' notice, counted from the month end after the notice arrives, unless otherwise agreed.
- Fees paid in advance are not refunded on termination, except where the shop's agreement says otherwise.
- Either party may terminate with immediate effect on a material breach that is not remedied within 30 days of written notice.
- On termination the shop may request an export of its data within 30 days. We deliver it within ten working days. We delete or anonymise the shop's data 90 days after the agreement ends, as described in the Privacy Policy.
- Where a shop has signed an agreement with us, that agreement prevails over these terms if they differ. The Swedish general terms that form part of such an agreement are published, version by version, at helny.app/villkor.
11. Changes to the service and these terms
We develop the service continuously, and features may be added, changed or removed. We will not remove a material feature without notice where it would significantly affect how the shop works. We may update these terms; the "Last updated" date above reflects the latest version, and material changes are communicated to the shop before they take effect.
12. Governing law and disputes
These terms are governed by Swedish law. Disputes are settled by Swedish courts, with Stockholms tingsrätt as the court of first instance, unless mandatory law provides otherwise.
